Women’s Day: HCL Technology founder Shiv Nadar gave his daughter Roshni Nadar Malhotra a gift just before Women’s Day, something that people can only hope for. Country’s richest person Mukesh Ambani has given his daughter Isha many unique gifts, but Roshni’s is different.

HCL Technology is one of the top 5 tech companies in the country and one of the largest promoter-backed companies. Shiv Nadar is gradually handing over the reins of the company to his daughter, and now he has gifted her a significant stake in two promoter companies of HCL.

Now, Roshni has become a major stakeholder in HCL under her father’s succession plan.

Shiv Nadar has transferred 47% of his stake in HCL Tech’s two promoter companies, ‘Vama Sundari Investment’ and ‘HCL Corporation’, to his daughter Roshni Nadar Malhotra as a gift deed. Following this, Shiv Nadar’s own stake in these companies has now reduced to just 4 percent.

Not only that, but with this, Roshni Nadar Malhotra’s stake in these companies has increased to 57.33 percent. Additionally, her voting power in board decisions has also increased. According to December 2024 data, these two promoter group companies hold a total of 44.34 percent in HCL Technologies. Furthermore, Shiv Nadar and Roshni Nadar Malhotra are also promoters of HCL Technologies. They also have a direct stake of 1% in HCL Tech.

Last November, the market regulator SEBI also granted Roshni Nadar Malhotra an exemption from the rules for transferring a significant stake in HCL Tech in this manner. Such a non-commercial transfer of shares among close family relations falls under takeover regulations. An open offer is required for this, but Roshni Nadar Malhotra has been exempted from it. The transfer of shareholding will not result in any change in HCL’s promoter holding.

On the other hand, Mukesh Ambani, chairman of Reliance Industries, has also devised a succession plan for his three children. In this, Isha Ambani is to be entrusted with the group’s retail, Akash Ambani with the group’s telecom, and Anant Ambani with the energy business. However, the complete division of these businesses among the children has not yet taken place, nor has the shareholding been distributed among the children in that manner.

The promoter group’s stake in Reliance Industries is over 50 percent. However, individually, Kokilaben holds 0.24 percent, and Mukesh, Nita, Isha, Akash, and Anant each hold only 0.12 percent stake in the company and that is also their voting right.
